1. Service Description

ICP Verification provides UAE identity verification services through our online platform. Our services include, but are not limited to:

• UAE Pass Verification: Digital identity verification through the UAE Pass system for secure authentication with government services.
• Bank Account Verification: Confirmation of bank account authenticity and financial credential validation for secure transactions.
• Compliance Checks: Comprehensive regulatory compliance verification for businesses and individuals operating within the UAE.
• Criminal Record Check: Procurement of certified police clearance certificates verifying criminal record status.
• Financial Activity Monitoring: Monitoring and verification of financial activities to ensure transparency and prevent fraud.
• Watchlist Screening: Screening individuals against international and local watchlists for security and compliance purposes.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We shall not be liable for any modification, suspension, or discontinuation of our services. Our services are provided for lawful verification purposes only, and we reserve the right to refuse any verification request that we reasonably believe may be used for unlawful or fraudulent purposes. All verification results are based on data available from relevant UAE government databases, financial institutions, and other authorized third-party sources at the time of the query.

2. Eligibility

You must be at least eighteen (18) years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old, you are a resident of the United Arab Emirates or are using the services for UAE-related verification purposes, you have the legal capacity to enter into binding agreements, and the information you provide to us is true, accurate, and complete. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. We reserve the right to refuse service to anyone at our sole discretion. Users who are not UAE residents may use our services only to the extent permitted by applicable laws and regulations, and they acknowledge that certain verification services may not be available to non-residents.

3. User Obligations and Account Registration

To access certain features of our services, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials, including your password
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security
• Not use the account of any other person without their express authorization
• Not create multiple accounts for fraudulent purposes or to circumvent any restrictions

You are solely responsible for safeguarding your account password. We will not be liable for any loss or damage arising from your failure to comply with these account security requirements. Additionally, you agree not to use our services for any unlawful purpose, including but not limited to identity theft, fraud, money laundering, or any activity that violates UAE Federal Decree-Law No. 34 of 2021 on Combating Rumors and Cybercrimes. You must not attempt to gain unauthorized access to any portion of our website, other accounts, computer systems, or networks connected to our servers through hacking, password mining, or any other means.

4. Payment Terms

By using our paid services, you agree to the following payment terms:

• Pricing: All prices are listed in UAE Dirhams (AED) and are inclusive of applicable VAT unless otherwise stated. Prices are subject to change without prior notice, though changes will not affect payments already processed. The current pricing for each service is displayed on our website at the time of purchase.
• Payment Methods: We accept major credit/debit cards and other payment methods as displayed on our platform. All payments are processed through PCI-DSS compliant payment gateways to ensure the security of your financial information.
• Payment Authorization: By submitting payment information, you authorize us to charge the designated payment method for the total amount of your order, including any applicable fees, taxes, and surcharges.
• Failed Payments: If a payment cannot be processed due to insufficient funds, expired cards, or other reasons, we may suspend your access to the service until payment is successfully completed. We may attempt to reprocess failed payments up to three (3) times.
• Refunds: Refunds are governed by our Refund Policy. Please review it carefully before making a payment.
• Invoicing: Tax-compliant invoices will be issued for all completed transactions and will be available in your account dashboard within twenty-four (24) hours of payment completion.
• Currency: All transactions are processed in UAE Dirhams (AED). If your payment method uses a different currency, your bank or payment provider may apply currency conversion fees and exchange rates that are beyond our control.

5. Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of ICP Verification or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws, including UAE Federal Law No. 7 of 2002 on Copyrights and Related Rights, as amended.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our website without our prior written consent, except as permitted by applicable law.

The ICP Verification name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ICP Verification. You may not use such marks without our prior written permission. Any unauthorized use of our trademarks may result in legal action under UAE trademark law. You retain ownership of any content you submit to our platform, but by submitting such content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely for the purpose of providing our verification services.

6. Limitation of Liability

To the fullest extent permitted by applicable UAE law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data:

• Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose.
• We do not warrant that our services will be uninterrupted, timely, secure, or error-free.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
• In no event shall our total aggregate liability exceed the amount paid by you to us in the twelve (12) months preceding the claim, or the amount paid for the specific service giving rise to the claim, whichever is less.
• We are not responsible for the actions, content, or services of any third-party websites or services linked to or from our platform.
• We are not liable for any delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, government actions, natural disasters, internet outages, or cyberattacks.
• We are not liable for any loss or damage arising from the inaccuracy or incompleteness of data provided by third-party sources, including government databases and financial institutions.

7. Disclaimers

We do not guarantee the accuracy, completeness, or usefulness of any information provided through our services. The verification results we provide are based on data available at the time of the query and may not reflect the most current status. We are not a government agency, and our services are not a substitute for official government verification channels. Any reliance you place on information obtained through our services is strictly at your own risk. We disclaim all warranties, express or implied. The verification results provided by our platform should not be construed as legal advice, and you should consult appropriate legal professionals for matters requiring legal determination.

8. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, fraudulent activity, conduct that we determine to be harmful to other users, our services, or our business interests, or violation of any applicable UAE laws or regulations.

Upon termination, your right to use our services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may delete your account at any time by contacting us at support@icpverification.ae. Upon account deletion, we will retain your data only as required by UAE law and our Privacy Policy.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles. The federal laws and regulations of the UAE, including but not limited to Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, the UAE Cyber Crime Law (Federal Decree-Law No. 34 of 2021), and the UAE Commercial Transactions Law, shall apply to these Terms and your use of our services.

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved as follows:

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@icpverification.ae. We will attempt to resolve the dispute within thirty (30) days.
• Mediation: If informal resolution fails, the parties agree to submit the dispute to mediation administered by the Dubai International Arbitration Centre (DIAC) in accordance with its mediation rules.
• Arbitration: If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration administered by DIAC in Dubai, UAE. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
• Jurisdiction: The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over any matters not subject to arbitration.

10. Indemnification

You agree to indemnify, defend, and hold harmless ICP Verification, its directors, employees, partners, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of or access to our services, your violation of these Terms, your violation of any applicable laws or regulations, or your violation of any rights of a third party. This indemnification obligation will survive the termination of your account and these Terms. We reserve the right to assume exclusive defense of any matter subject to indemnification, and you shall not settle any such matter without our prior written consent.

11. Data Processing and Privacy

Our collection, use, and processing of your personal data is governed by our Privacy Policy and our GDPR Compliance page. By using our services, you consent to the collection and processing of your personal data as described in those policies. We comply with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and all applicable data protection regulations. You have the right to access, correct, delete, and port your personal data as outlined in our Privacy Policy. For residents of the European Economic Area, we also comply with the General Data Protection Regulation (GDPR).

12. Modifications to Terms

We reserve the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the website and services thereafter. We will make reasonable efforts to notify you of material changes, such as by posting a notice on our website or sending an email to the address associated with your account. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes. If you do not agree to the modified Terms, you must discontinue use of our services immediately.

13. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The failure of ICP Verification to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by ICP Verification.
